Introduction and Definitions

Definitions: It is essential to define terms like "Kalkin Staffing," "Client," "Candidate," "Placement," "Contract," "Fee," and particular types of services (for instance, "Direct Placement," "Contract-to-Hire") in a clear manner.

Acceptance: It should be mentioned that availing of the services provided by Kalkin Staffing means acceptance of these Terms and Conditions.

Scope of Services

Enumerate the recruitment services offered and include:

  • The sourcing of outstanding professionals in sales and marketing.
  • The linking of firms with the best skilled workers in the Cloud Computing field (AWS, Azure, GCP, etc.).
  • Staffing for tech areas with high demand in the IT sector such as Cybersecurity, AI/ML, and Data Science.

Client Obligations

  • Client to provide honest and comprehensive information regarding job position, pay, and company culture as a requirement.
  • Client to avoid contacting or hiring a candidate introduced by Kalkin Staffing outside the terms of this agreement for the specified period.

Fees, Billing, and Payment

  • Fee Structure: Describe the way placement fees are calculated for Direct Placement (e.g., percentage of first-year salary).
  • Payment Terms: Indicate the due dates for invoices and the repercussions of not paying on time.
  • Contract/Hourly Rates: List the billing process for Contract or Contract-to-Hire engagements.

Guarantees and Replacements (Direct Placement)

  • Guarantee Period: Indicate a time frame (e.g., 90 days) within which Kalkin Staffing assures a successful Direct Placement
  • Refund/Replacement Clause: Circumstances in which a replacement candidate will be provided at no extra charge or a pro-rata refund will be granted if a placed candidate's employment is terminated within the guarantee period.

Confidentiality and Data Protection

An absolute guarantee to process Client and Candidate data (resumes, sensitive job info, etc.) according to the privacy regulations in place.

Citing compliance with laws such as GDPR or HIPAA that are relevant to the company's customer base in Healthcare and Life Sciences.

Limitation of Liability

A condition that the liability of Kalkin Staffing will not exceed the amount paid to Kalkin Staffing by the Client in connection with that Candidate

Kalkin Staffing shall not be liable for the performance of the Candidate after the commencement of the employment.

Termination

Reasons that either the Client or Kalkin Staffing might want to terminate the contract.

A part of the contract that allows demanding payment of pending fees or keeping secrecy even after the termination of the contract.

Governing Law and Dispute Resolution

Naming a specific location (e.g., State of X) whose legislation will apply to the contract.

Rules for solving issues (e.g., mediation or arbitration).
